When customers misuse our services, the service provider takes it very seriously.

Changes To This Terms & Conditions

We may update our terms from time to time. Thus, we advise you to review this page periodically for any changes. We will notify you of any changes by posting the new Privacy Policy on this page. These changes are effective immediately after they are posted on this page.

Project Schedule

  • The company will give the client a project timeline that includes important dates and benchmarks.
  • The project timeframe may need to be adjusted if the client causes delays, such as missing deadlines for payments or inability to deliver required components.

Assurance of Quality

  1. The business will do its best to guarantee the deliverables’ functioning and quality.
  2. Deliverables must be carefully reviewed, and tested, and any problems must be reported by the client within the predetermined time range.

Scope of Services

  • The Company will provide the Client with development, designing, and marketing services as outlined in the agreed-upon project proposal or contract.
  • Any changes or additions to the scope of services must be documented in writing and agreed upon by both parties.

Intellectual Property

  • The Client acknowledges that any intellectual property created during the project, including but not limited to designs, code, and marketing materials, will remain the property of the Company until full payment is received.
  • Upon full payment, the Company grants the Client a non-exclusive, royalty-free license to use the intellectual property for the agreed-upon purpose.

Terms and Conditions of Service for Website Design, Software, App Development, and Maintenance-Related Services

Taxation:

  1. For Indian customers, an additional 18% Goods and Services Tax (GST) will apply.

Payment Terms: A 50% advance payment or milestone-wise payments are required, with the remaining balance due before the project goes live.

Termination:

  • Either party may terminate the arrangement with a three-month written notice.
  • Failure to provide written notice will result in the other party being charged a three-month proportionate fee.
  • Clients agree not to employ or hire Digirovers employees directly or indirectly. In case of a contract breach, the client will pay 12 months’ salary to Digirovers.

Payment Methods:

  • Accepted payment methods include NEFT, RTGS, Cheque, Debit, and Credit Cards.
  • If payment is made through PayPal or a credit card, an additional 5% fee will apply.

Late Fees:

  • Late payment fees of 0.5% per day and an administration fee of (#var) per month will be imposed on outstanding invoices.
  • Late fees will be applicable seven days after the due date of the invoice.

Rework and Design Changes:

  • Any rework on an approved and completed task will incur additional charges.
  • Design changes after approval will also result in additional charges.

Refund Policy:

  • Digirovers reserves the right to negotiate and refund appropriate portions of the amount paid by the customer.
  • A 50% refund is applicable if an order is cancelled before work commencement.
  • No refunds or adjustments will be provided if the order is cancelled after work commencement.

Project Stalling:

  • Stalling the project for over one calendar month may result in additional costs.
  • Digirovers will charge project delay fees of 10% of the total project cost per month for client-induced delays.

Portfolio Display:

  • The client agrees that work done on their website may be showcased in Digirovers’ portfolio.
  • Digirovers is entitled to include a design credit line at the bottom of the website.
  • If the client opts out, an additional 20% of the total project cost is payable.

Additional Expenses:

  • Clients will reimburse Digirovers for any additional expenses essential for project completion (e.g., special fonts, onsite demos, videos, stock, plugins, SSL, hosting, photography, and renewals).
  • Additional man-hours required due to server or network issues, if not hosted on the Digirovers server, may be charged separately.
  • Third-party component purchase costs are not included in our quotes.

Additional Work:

  • Any rework, changes in design after approval, or modifications during or after Go-Live approval will incur additional charges.
  • All additional work beyond the estimates is charged separately.

Note: Under no circumstances will Digirovers be liable for delays caused by changes in the project brief.

Content Submission:

  1. All website/application content and related materials must be submitted within the initial two weeks of project commencement.
  2. Delays beyond this period may impact project timelines and may result in additional charges if deemed unreasonable.

Failure to Provide Required Content:

  • Digirovers relies on efficient scheduling to meet project deadlines.
  • In instances where required information is not provided within the agreed timeframe, leading to project delays, Digirovers reserves the right to impose a surcharge.
  • If the agreed-upon information is not furnished within two weeks of project initiation, Digirovers reserves the right to close the project, with the remaining balance becoming immediately payable.

Text Content Format:

  • Text content should be submitted in Microsoft Word format, via email or a similar document, with each page representing the corresponding content of a webpage.

Turnaround Time: The maximum turnaround time for responses is two weeks.

Third-Party Components:

  • Depending on functionalities, third-party components like payment gateways or plugin certificates may be involved.
  • While Digirovers endeavours to assess component suitability, unexpected limitations are beyond our control.

Open Source Products and Responsibilities:

  • Digirovers disclaims responsibility for open-source products like WordPress, Open Source carts, Joomla, etc.
  • Clients are responsible for updating all components and third-party software, and regular backups are recommended.

Use of Free Content:

  • Digirovers is not responsible for the use of any free images, footage, videos, etc.
  • Clients must provide content from their side.

Unforeseen Circumstances:

  • Unforeseen circumstances may cause delays, especially in integrating third-party software.
  • Clients agree not to penalize Digirovers for genuine delays within a reasonable period.

Hosting and Server Access:

  • Digirovers builds and tests websites/applications on its servers or hosted domains.
  • Server access is not provided to clients or third parties.
  • Transfer to a nominated third-party server is possible upon full payment of all invoices and dues.

Portfolio Presentation: The client agrees that the work handled may be showcased in Digirovers’ portfolio.

Design Credit Line:

  • The client permits Digirovers to include a design credit line at the bottom of the website.
  • If the client opts out, an additional 20% of the total project cost is payable.

Governing Law and Jurisdiction:

  • This agreement is governed by and enforced under the laws of India.
  • Terms and Conditions of Service for Paid Ad Management and Digital Marketing Services.

Payment:

Agency fees are to be paid monthly in advance.

Rework and Design Changes:

  • Any modifications to an approved and completed task will result in additional charges.
  • Design changes post-approval will also incur additional charges.

Terms and Conditions of Service for SEO, ASO, and Digital Marketing Services

  • Payment: Monthly Prepaid
  • Clients engaging in our SEO, ASO, and digital marketing services are required to make monthly prepaid payments.
  • 1st Page Guaranteed Google Ranking:
  • For 20-35% of keywords, we guarantee 1st-page ranking on Google. However, this commitment necessitates a minimum continuous 6-month lock-in period.
  • Taxes:
  • An additional 18% Goods and Services Tax (GST) will be applied to Indian customers.
  • International Payments and Taxes Deduction:
  • Rework and Design Changes: Any rework on an already approved and completed task will result in additional charges. Similarly, changes in the design after approval will incur additional fees.
  • Portfolio Presentation: The client agrees that the work handled for them may be showcased in Digirovers’ portfolio.
  • Payment Methods: accepted payment methods include NEFT, RTGS, Cheque, Debit, and Credit Cards. If payment is made through PayPal or a credit card, an additional 5% fee will be applicable.
  • Termination: Either party can terminate the arrangement with two months’ written notice. Clients agree not to directly or indirectly employ, hire, or offer contracts to Digirovers employees. In case of a contract breach, the client agrees to pay 12 months’ salary to Digirovers.
  • Late Fees: Outstanding invoices will incur a late payment fee of 0.5% per day and an administration fee of Rs. 2000 per month, starting seven days after the due date.

Responsibility after Project Cancellation:

  • Digirovers takes no responsibility for page ranking or traffic after the project is cancelled.
  • No Guarantee for 1st Page Ranking:
  • The service provider makes no guarantee of 1st-page ranking for generic or single-word keywords. Guarantees are subject to factors such as client-side response delays, website health, and search engine updates.
  • Search Engine Policy Changes: Service providers cannot control search engines and cannot guarantee that Designated Search Engines will not change their policies or functionality, potentially affecting website ranking.
  • By availing our services, clients acknowledge and agree to comply with these terms and conditions. For any inquiries, please contact Digirovers.

Ownership: Upon final payment for the development, the Client will become the owner of the copyright of the final combined piece of Services produced by the Service Provider and visuals. Design, images, graphics, source code, work-up files, text, and any program(s) specially created or acquired on the client’s behalf to finish this development shall all fall under this ownership. Until the client has made the last payment for the development, all materials created to publish them online belong to the service provider. At this point, the client owns the materials and is free to utilise them any way they see fit.

Dispute Resolution

  • Any disputes arising from or relating to this agreement will be resolved through negotiation in good faith.
  • If a resolution cannot be reached, the parties agree to pursue mediation or arbitration under the laws of India.

DISCLAIMER
